Business Law and Commercial Law

Contracts, Leases, Warranties and Agreements are often required to conduct business in a professional and safe manner. We are experienced at drafting and reviewing many types of business agreements used in the conduct of business in Massachusetts.

A written contract is extremely helpful to both the business owner and the customer. It explains the terms and conditions in a clear manner so that both know what to expect – and what not to expect. A written contract may help to avoid disagreements and resolve issues without litigation. It often provides for legal fees, court collection costs and interest in the event of litigation. It may decide the court venue the parties are subject to in the event of litigation.

A written warranty will often accomplish many of the same goals as a contract. In addition, it may set forth performance standards – or expectations – for the quality and scope of work. A clear explanation of the warranty to a customer helps to manage expectations and avoid misunderstandings of what the business is, and is not, providing.

Lease drafting applies to both residential and commercial property. A properly drafted lease is, in essence, a contract. It sets forth the parties to the transaction and their respective rights and obligations. As a lease often binds the parties to months or years of obligations, careful consideration must be paid to the drafting.
